LOKKBOX ‘APPLE GIVEAWAY’ PROMOTION PARTICIPATION TERMS AND CONDITIONS.

Introduction:

These terms and conditions describe the participation requirements for the Lokkbox ‘Apple Giveaway’ program and its general policies. Lokkbox LLC (LokkBox) is solely responsible for the administration of this ‘Apple Giveaway’ offer. The owners of trademarked names and merchandise used in our promotions do not sponsor and have not endorsed this promotion, nor are they affiliated with LokkBox in any way. All trademarks are the property of their respective owners with all rights reserved. To become a LokkBox subscriber and participate in its ‘Apple Giveaway’ promotion, you must be at least 18 years old and a legal resident of the United States with a valid email and mailing address (PO Boxes are not acceptable). Offer not valid to residents where prohibited by law.

How the Promotion Works:

This offer is available to US residents only. Participants must be at least 18 years of age. To receive the ‘Apple Giveaway’ Promotion gift you must complete all of the steps outlined herein. Prospective subscribers must: (a) complete the account registration page for a paid subscription at https://secure.lokkbox.com/secure-signup/lokkbox-account-signup.php with valid and required information; (b) select an account with a minimum size of 100GB (gigabytes) to qualify for the ‘Apple Giveaway’ promotion; (c) select the option for ‘annual subscription’ during the sign up process; (d) submit accurate contact and demographic information including a mailing address; (e) complete the sign up with valid payment details and complete account registration; (f) complete payment in full for the annual subscription selected. Please understand that failure to supply current and accurate address and demographic information on the redemption form may hinder our ability to deliver the promotion gift to you.

Promotional gifts:

The LokkBox ‘Apple Giveaway’ promotional offer provides four different promotional gifts as follows. For annual account subscriptions complying with terms and conditions of this promotion the following explains the gifts offered:

• For accounts of 100GB (gigabytes) – 250GB (gigabytes):

  • Apple iPod Nano 8GB (color determined by LokkBox)

• For accounts of 251GB (gigabytes) – 500GB (gigabytes):

  • Apple TV 160GB

• For accounts of 501GB (gigabytes) – 999GB (gigabytes):

  • Apple iPad 16GB Wifi Only

• For accounts of 1000GB (gigabytes) and over

  • Apple Macbook 2.26GHz, 250GB, 2GB DDR3 Memory

From time to time the manufacturer may change the specifications of the promotional gifts and LokkBox reserves the right to change these promotional gifts to comparable products at the sole discretion of LokkBox.

Terms of the LokkBox ‘Apple Giveaway’ Promotional offer:

LokkBox is not responsible for the performance, maintenance or support of any promotional products and gifts nor transactions that you enter into with the manufacturers, advertisers, sponsors, or partners of these promotional products. LokkBox cannot fulfill any service or support agreements for the promotional products on your behalf, refund any charges you have incurred, or service an account you created with the manufacturer or reseller of the promotional products. You should carefully read the requirements, terms and conditions, privacy policy, and billing practices for each promotional product and gift at the manufacturer’s website. The LokkBox ‘Apple Giveaway’ promotion is only available to valid subscribers meeting the terms and conditions of this promotion. Lokkbox Partners are not eligible for this promotion. If a product is returned, then any financial credit for the product will not be awarded. Purchasing annual subscriptions for resale of promotional products or commercial purposes is not allowed. LokkBox reserves the right to require individuals to provide documentation demonstrating they have completed the subscription requirements prior to promotional gift redemption in cases where that information is unavailable for any reason. LokkBox will only send promotional gifts to the subscriber once the annual payment has been completed, received and verified by LokkBox. LokkBox will only send promotional gifts to the address and name of the subscriber used during subscription registration. LokkBox is not liable for errors in shipping or receiving and once LokkBox has sent the product to the subscriber, all risk of loss transfers to the subscriber. Upon delivery of the promotional gift to the subscriber’s address, a delivery confirmation signature will be required. Once the signature is provided (by any person or persons at the address of the subscriber), LokkBox will deem this to be proof of delivery. Promotional gifts are limited to one gift per subscription on one occasion only. Annual subscriptions are only eligible for a promotional gift for the first year of subscription and not subsequent years. This restriction applies even if the annual subscription is cancelled and reregistered for the same entity at a later date. Monthly subscribers are not eligible for the LokkBox ‘Apple Giveaway’ promotion. Eligibility for an ‘Apple Giveaway’ promotional gift is also based upon a single subscription size and subscribers will not be eligible for promotional gifts over the account size category by subscribing to multiple, smaller accounts and adding them together. For example, a 1000GB (Gigabytes) subscription, paid annually in advance may qualify for the Apple Macbook promotional gift, however 10 separate subscriptions of 100GB (even if they are affiliated with single person or business entity) will not qualify for the Apple Macbook promotional item. 10 separate account subscriptions of 100GB would qualify for 10 Apple iPod Nano promotional gifts. LokkBox reserves the right override this condition upon written notification and approval to the subscriber.

Security:

The LokkBox Web Site has security measures in place intended to protect the loss, misuse and alteration of the information under our control. Our hardware infrastructure is housed in a controlled access facility that restricts access to authorized individuals with positive identification. Our network access to the infrastructure is protected by a firewall protection system. However, we cannot guarantee that communications between you and LokkBox will not be intercepted by others and that information stored on our servers will be free from unauthorized access. While we have taken reasonable precautions to protect this information, you should always use discretion in what information you send to us and not expect that such information will be absolutely free from intrusion.

LokkBox Web Sites, as well as the electronic messages sent as part of LokkBox service, may contain links to other sites or services. LokkBox is not responsible for the privacy practices or the content of such third party sites. If you have a question about the privacy policy of those other sites, please contact them directly.

Tax Liability:

You are responsible for all local, state, and federal taxes on any promotional gifts you receive. LokkBox requires that anyone receiving gifts valued at $600.00 and above in any calendar year complete and submit a W-9 form from the Internal Revenue Service in order to allow LokkBox to comply with IRS reporting requirements.

Choice of Laws/Venue:

You agree that this agreement shall be construed and governed in accordance with the laws of the State of Delaware regardless of the conflict of laws provisions of the jurisdiction where you live or any other jurisdiction. You also agree that the proper venue for any dispute pertaining to this agreement shall be the State and Federal Courts located in the State of Delaware.

Liability Release:

By participating in any LokkBox promotion, you release LokkBox and its respective parents, subsidiaries, and other affiliated companies, and the directors, shareholders, officers, employees, or agencies of any of the above organizations, for any and all liability for any injury, death, loss, tax liability or damage of any kind arising from entrant’s participation in this program, or resulting from acceptance, possession, use or misuse of any promotional offer or gift. Failure to comply with these Terms and Conditions may result in disqualification from this program. LokkBox reserves the right, in its sole discretion, to: (i) disqualify from this or any promotion it sponsors now, or in the future, any person it finds, in its sole discretion, has intentionally violated these Terms and Conditions, tampered with the eligibility process, or any other aspect of the promotion; and (ii) cancel or suspend part or all of this program in the event that printing errors, tampering, fraud, unauthorized intervention or other causes beyond LokkBox ’s control, corrupt or impair the administration, security or fairness of the program. Any attempt by you or any other person to deliberately undermine the legitimate operation of the program may be in violation of criminal and civil laws; and should such an attempt be made, LokkBox reserves the right to seek remedies and damages (including attorneys’ fees) from you or any other person to the fullest extent permitted by law, including seeking criminal prosecution. WE WILL NOT BE LIABLE FOR THE AVAILABILITY OF THE UNDERLYING INTERNET CONNECTION ASSOCIATED WITH THE SITE. Cancellation of subscription:

In the event that the subscriber cancels the annual subscription prior to the first anniversary of the initial subscription date and in the event that the subscriber has also received a promotional gift as part of the LokkBox ‘Apple Giveaway’ promotion, any applicable refund (as defined in the separate subscription terms and conditions which are required to be accepted during the initial subscription registration) will be adjusted. In this case, the US retail value (plus applicable taxes) of each promotional item will be deducted from any applicable refund due to the subscriber as follows: Apple iPod Nano – US$159.00, Apple TV – US$229.00, Apple iPad – US$499.00, Apple Macbook - $999.00. Alternatively, LokkBox also reserves the right to not send a promotional gift in place of adjusted refund amounts if a promotional gift has not yet been sent to the subscriber.

Reduction of subscription size:

In the event that the subscriber modifies the annual subscription to reflect a lower size of account prior to the first anniversary of the initial subscription date and in the event that the subscriber has also received a promotional gift as part of the LokkBox ‘Apple Giveaway’ promotion, LokkBox reserves the right to recalculate any applicable refund to account for the reduction in account size. This recalculation may take the form of a reduced refund according to retail values of the promotional gifts or the withholding of a promotional gift if a promotional gift has not yet been sent to the subscriber.

Increase of subscription size:

In the event that the subscriber modifies the annual subscription to reflect a higher size of account prior to the first anniversary of the initial subscription date and in the event that the subscriber has also not received a promotional gift as part of the LokkBox ‘Apple Giveaway’ promotion at that time, LokkBox reserves the right to select the promotional gift applicable to the size of the new, higher account at its sole discretion. Subscribers who have already received a promotional gift for their subscription will not be permitted to trade the gift to a more valuable one.

Updates:

LokkBox may revise these Terms and Conditions at any time in the future to (i) improve or modify the LokkBox Service, (ii) reflect future developments in LokkBox data information gathering, storing and release practices, (iii) comply with applicable laws, and (iv) reflect changes in LokkBox business structure. Accordingly, you should review these terms and policy from time to time to check for updates. Your continued use of the LokkBox website shall evidence your acceptance of any changes. If you do not accept any of the terms of this Policy, we ask that you not complete our registration process. Your registration with LokkBox constitutes your acceptance of these terms and privacy policy.
